If you are using the Site on behalf of any entity, you further represent and warrant that you are authorised to accept these Site Terms on such entity’s behalf, and that such entity agrees to indemnify Fashion Stock Images for violations of these Site Terms.

Ownership of the Site and its Contents

The Site FASHION STOCK IMAGES is owned by WOMOTTO PTE LTD (from now and on Fashion Stock Images). Unless otherwise indicated, all of the content featured or displayed on the Site, including, but not limited to, photographic images, animated images, sounds, videos, graphics, texts, data, illustrations, software, thereof (Fashion Stock Images Content), is owned by Fashion Stock Images, its licensors, or its third-party contents partners. All elements and Site contents are protected by copyright, trade dress, moral rights, trademark and other laws relating to the protection of intellectual property. We would very much appreciate any feedback or suggestions about our services that you may submit to us, but we hope you understand that we do not have any obligation to compensate you for them.

Use of the Site

The Site and the Fashion Stock Images together with its Content are intended for customers of Fashion Stock Images. Fashion Stock Images will not be responsible to pay you or any Third Party fees in connection with billing or collecting any licensing fees from you. You are responsible for all applicable taxes and any applicable Third Party fees (including but not limited to credit card fees, foreign exchange fees and cross border fees.)

Copyright Infringement Policy and Complaints

If you believe that any material on the Fashion Stock Images infringes upon any copyright that you own or control, we invite you to file a notification of such infringement through our contact form.

Trademarks

Womotto Trademarks, Fashion Stock Images logo, and any other product or service name or slogan contained in the Site are trademarks of Fashion Stock Images and its suppliers or licensors, and may not be copied, imitated or used, in whole or in part, without the prior written permission of Fashion Stock Images or the applicable trademark holder. You may not use metatags or any other “hidden text” utilising “Fashion Stock Images”, “Womotto”, or any other name, trademark or product or service name of Fashion Stock Images or Womotto without our prior written permission.

In addition, the look and feel of the Site, including design and scripts, is the service mark, trademark and/or trade dress of Fashion Stock Images and may not be copied, imitated or used, in whole or in part, without our prior written permission. All other trademarks, registered trademarks, product names and company names or logos mentioned in the Site are the property of their respective owners. Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof by us.

You may not use Fashion Stock Images logo or other proprietary graphic of Fashion Stock Images to link to the Site without the express written permission of Fashion Stock Images. You may not frame any Fashion Stock Images trademark, logo or other proprietary information, including the Fashion Stock Images Content, without Fashion Stock Images’ express written consent.

Fashion Stock Images makes no claim or representation regarding, and accepts no responsibility for, directly or indirectly, the quality, content, nature or reliability of third-party websites accessible by hyperlink from the Site, or websites linking to the Site. Such sites are not under the control of Fashion Stock Images and Fashion Stock Images is not responsible for the contents of any linked site or any link contained in a linked site, or any review, changes or updates to such sites. Fashion Stock Images provides these links to you only as a convenience, and the inclusion of any link does not imply affiliation, endorsement or adoption by Fashion Stock Images of any site or any information contained therein. When you leave the Site, you should be aware that our terms and policies no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any site to which you navigate from the Site.

Your participation, correspondence or business dealings with any third party found on or through the Site, regarding the payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such third party. You agree that Fashion Stock Images shall not be responsible or liable for any loss, damage or other matters of any sort incurred as the result of any such dealings.

Registration Data and Account Security

In consideration of your use of the Site, you agree to: (a) provide accurate, current and complete information about you as may be prompted by any registration forms on the Site (“Registration Data”); (b) maintain and promptly update the Registration Data, and any other information you provide, to keep it accurate, current and complete; (c) maintain the security of your password and identification; (d) notify Fashion Stock Images immediately of any unauthorised use of your account or other breach of security; (e) accept all responsibility for any and all activities that occur under your account, including but not limited to, all applicable taxes and any applicable third-party fees (including but not limited to credit card fees, foreign exchange fees and cross border fees); and (f) accept all risks of unauthorised access to the Registration Data and any other information you provide to Company.

Indemnification

You agree to defend, indemnify and hold harmless Fashion Stock Images, its affiliates, licensors, employees, agents, third party information providers and independent contractors against any claims, damages, costs, liabilities and expenses (including, but not limited to, reasonable attorneys’ fees) arising out of or related to any User Content that you post, store or otherwise transmit on or through the Site, your conduct, your use or inability to use the Site, your breach or alleged breach of the Site Terms or of any representation or warranty contained herein, your unauthorised use of the Fashion Stock Images Content, or your violation of any rights of another.

Disclaimer

THE SITE AND THE FASHION STOCK IMAGES CONTENT, ARE PROVIDED “AS IS” AND FASHION STOCK IMAGES AND ITS DIRECTORS, EMPLOYEES, CONTENT PROVIDERS, AGENTS, LICENSORS AND AFFILIATES EXCLUDE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY WARRANTY, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY OR FITNESS FOR A PARTICULAR PURPOSE. FASHION STOCK IMAGES WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THE SITE OR THE FASHION STOCK IMAGES CONTENT, OR THE UNAVAILABILITY OF THE SAME, INCLUDING, BUT NOT LIMITED TO LOST PROFITS, AND DIRECT, INDIRECT, INCIDENTAL, PUNITIVE AND CONSEQUENTIAL DAMAGES. THE FUNCTIONS EMBODIED ON OR IN THE MATERIALS OF THIS SITE ARE NOT WARRANTED TO BE UNINTERRUPTED OR WITHOUT ERROR. YOU, NOT FASHION STOCK IMAGES, ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION DUE TO YOUR USE OF THIS SITE OR THE FASHION STOCK IMAGES CONTENT. Limitation of Liability

IN NO EVENT SHALL FASHION STOCK IMAGES, ITS DIRECTORS, MEMBERS, EMPLOYEES, LICENSORS OR AGENTS BE LIABLE FOR ANY DIRECT, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE SITE, THE SERVICES, THE FASHION STOCK IMAGES CONTENT OR THE MATERIALS CONTAINED IN OR ACCESSED THROUGH THE SITE, INCLUDING WITHOUT LIMITATION ANY DAMAGES CAUSED BY OR RESULTING FROM RELIANCE BY USER ON ANY INFORMATION OBTAINED FROM FASHION STOCK IMAGES, OR THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES OR EMAIL, ERRORS, DEFECTS, VIRUSES, DELAYS IN OPERATION OR TRANSMISSION OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT RESULTING FROM ACTS OF GOD, COMMUNICATIONS FAILURE, THEFT, DESTRUCTION OR UNAUTHORISED ACCESS TO FASHION STOCK IMAGES’ RECORDS, PROGRAMMES OR SERVICES. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF FASHION STOCK IMAGES, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE, WHETHER ACTIVE, PASSIVE OR IMPUTED), PRODUCT LIABILITY, STRICT LIABILITY OR OTHER THEORY, ARISING OUT OF OR RELATING TO THE USE OF THE SITE EXCEED ANY COMPENSATION YOU PAY, IF ANY, TO FASHION STOCK IMAGES FOR ACCESS TO OR USE OF THE SITE.

Applicable Law and Venue

This Agreement and any disputes or claims arising out of or in connection with Fashion Stock Images (Womotto Pte Ltd), or formation (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of Singapore. In the event of any such dispute or claim, the Parties irrevocably and unconditionally submit to the exclusive jurisdiction of the courts of Singapore.

Termination / Returns / Withdrawal

TERMINATION

Notwithstanding any of these Site Terms, Fashion Stock Images reserves the right, without notice and in its sole discretion, to limit your access, froze or terminate your account and/or to block your use of the Site.

WOMOTTO Pte Ltd reserves the right to limit the services of Fashion Stock Images, or terminate any of its the services.

Fashion Stock Images may terminate this agreement at any time if you breach any of the terms of this or any other agreement with Fashion Stock Images, in which case you must immediately: cease using the content; delete or destroy any copies; and, if requested, confirm to Fashion Stock Images in writing that you have complied with these requirements.

SOCIAL MEDIA TERMINATION

If you use the content on a social media platform or other third party website and the platform or website uses (or announces that it plans to use) the content for its own purpose or in a way that is contrary to this agreement, the rights granted for such use shall immediately terminate, and in that event, upon Fashion Stock Images’ request, you agree to remove any content from such platform or website.

REFUNDS and ORDER CANCELLATION of Digital Products.

Digital Products are considered the Press Area and all the images, videos or other digital products you may purchase at fashionstockimages.com.

We do not accept cancellation requests for Press Area fees. For all the other products the requests for refunds must be made by email or through the contact form within 1 day. Due to the digital format and the unlimited uses the web offers we are unable to have full control of the use of digital products, therefor we accept cancellation requests only within one day. Fashion Stock Images may cancel the relevant order and issue a full refund to your account or credit card. No credits or refunds are available for cancellation requests received more than 1 day from your receipt of content, or subscription fees, all of which are non-refundable. In the event of cancellation, your rights to use the content terminate, and you must delete or destroy any copies of the content.

In case you purchase a digital product and your download does not match the product as described in the product page (e.g., different size, product, damaged file or incomplete) you have to communicate it to us by email or through the contact form within 30 days of your purchase, providing us the details of the issue with the specific product. Once we receive your communication we will verify the issue and we will resolve the issue and provide you the correct content. In case we cannot provide you the correct content within 14 days we will refund you with the amount you paid for the specific content.

CONTENT WITHDRAWAL

Fashion Stock Images may discontinue licensing any item of content at any time in its sole discretion. Upon notice from Fashion Stock Images, or upon your knowledge, that any content may be subject to a claim of infringement of a third party’s right for which Fashion Stock Images may be liable, Fashion Stock Images may require you to immediately, and at your own expense: cease using the content, delete or destroy any copies; and ensure that your clients, distributors and/or employer do likewise. Fashion Stock Images may provide you with replacement content (determined by Fashion Stock Images in its reasonable commercial judgment) free of charge, subject to the other terms of this agreement, but is not obligated to do so.

Miscellaneous Provisions

Waiver. Any waiver of any provision of the Site Terms will be effective only if in writing in a document that specifically refers to this agreement and such document is signed by Fashion Stock Images.
Severability. If any clause in these Site Terms is found to be invalid, illegal or unenforceable in any respect, wherever possible this will not affect the validity, legality and enforceability of any other clause and each will remain in full force and effect.
Any rights not expressly granted herein are reserved.
Assignment. This agreement is personal to you and is not assignable by you without Fashion Stock Images’ prior written consent. Fashion Stock Images may assign this agreement, without notice or consent, to any corporate affiliate or to any successor in interest, provided that such entity agrees to be bound by these terms.
Audit. Upon reasonable notice, you agree to provide to Fashion Stock Images sample copies of projects or end uses that contain licensed content, including by providing Fashion Stock Images with free-of-charge access to any pay-walled or otherwise restricted access website or platform where content is reproduced. In addition, upon reasonable notice, Fashion Stock Images may, at its discretion, either through its own employees or through a third party, audit your records directly related to this agreement and your use of licensed content in order to verify compliance with the terms of this agreement. If any audit reveals an underpayment by you to Fashion Stock Images of any amount, then in addition to paying Fashion Stock Images the amount of the underpayment and any other remedies to which Fashion Stock Images is entitled, you also agree to reimburse Fashion Stock Images for the costs of conducting the audit.
Electronic storage. You agree to retain the copyright symbol, the name of Fashion Stock Images, the content’s identification number and any other information or metadata that may be embedded in the electronic file containing the original content, and to maintain appropriate security to protect the content from unauthorised use by third parties. You may make one (1) copy of the content for back-up purposes.
Applicable Law and Venue. This Agreement and any disputes or claims arising out of or in connection with Fashion Stock Images (Womotto Pte Ltd), or formation (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of Singapore. In the event of any such dispute or claim, the Parties irrevocably and unconditionally submit to the exclusive jurisdiction of the courts of Singapore. The United Nations Convention on Contracts for the International Sale of Goods does not govern this agreement. The prevailing party shall be entitled to recover its reasonable legal costs including attorney fees relating to that aspect of its claim or defence on which it prevails, and any opposing costs awards shall be offset. Notwithstanding the foregoing, Fashion Stock Images shall have the right to commence and prosecute any legal or equitable action or proceeding before any court of competent jurisdiction to obtain injunctive or other relief against you in the event that, in the opinion of Fashion Stock Images, such action is necessary or desirable to protect Fashion Stock Images’ intellectual property rights. The parties agree that, notwithstanding any otherwise applicable statute(s) of limitation, any arbitration proceeding shall be commenced within two years of the acts, events or occurrences giving rise to the claim.
Notice. All notices required to be sent to Fashion Stock Images under this agreement should be sent via email. All notices to you will be sent via email to the email set out in your account.
Interest on Overdue Invoices. If you fail to pay an invoice in full within the time specified, Fashion Stock Images may add a service charge of 1.5% per month, or such lesser amount as is allowed by law, on any unpaid balance until payment is received.

Changes to Site Terms

Fashion Stock Images reserves the right to change any of the terms and conditions contained in the Site Terms or any policy or guideline of the Site, at any time and in its sole discretion. The amended terms will revise the “last updated” date at the top of the Site Terms and will be effective once posted on the Site. By continuing your use of the Site and its services constitutes your acceptance of such changes. We recommend that you review the Site Terms whenever you visit our website. In the event of any inconsistency between the terms of this agreement and the terms contained on any purchase order sent by you, the terms of this agreement will apply.
